GENERAL TERMS & CONDITIONS

Mundo International Logistics B.V.

The latest version of the Dutch Forwarding Conditions (Nederlandse Expeditievoorwaarden), including the arbitration clause, shall apply to all services, activities and agreements performed by or on behalf of Mundo International Logistics B.V., its subsidiaries, affiliates and related entities (hereinafter jointly referred to as “Mundo”), unless expressly agreed otherwise in writing. Any other general terms and conditions are expressly rejected.

Mundo acts exclusively as freight forwarder and not as carrier, warehouse keeper, customs broker or otherwise, unless explicitly agreed in writing.

For all warehousing and storage related activities, the latest version of the Dutch Warehousing Conditions (Nederlandse Opslagvoorwaarden), including the arbitration clause, shall apply.

Notwithstanding the arbitration clauses contained in the applicable conditions, undisputed monetary claims may be submitted to the competent court in Rotterdam, The Netherlands. All agreements and legal relationships shall exclusively be governed by Dutch law.

The applicable terms and conditions have been made available prior to or upon conclusion of the agreement and will be provided free of charge upon request. The latest version can also be consulted and downloaded via:

Subcontracting

Mundo reserves the right to subcontract services in whole or in part to affiliated companies, agents, subcontractors or third-party service providers.

Where services are performed by affiliated entities, such services shall be deemed to have been performed on behalf of the original Mundo entity that entered into the agreement with the client.

All affiliated Mundo companies and related entities may invoke these General Terms & Conditions and the applicable Dutch Forwarding Conditions as third-party beneficiary clauses (“derdenbeding”).

The original Mundo contracting entity shall remain the contractual counterparty at all times, even if invoicing is performed by another affiliated Mundo entity.

Rates, Charges and Additional Costs

Unless otherwise agreed in writing, all quotations and rates are based on current freight rates, surcharges, duties, taxes, exchange rates and operational costs applicable at the time of quotation.

Mundo reserves the right to adjust rates and charges in the event of:

• Increased carrier costs
• Fuel surcharges
• Currency fluctuations
• Port or terminal surcharges
• Governmental measures
• Customs charges
• Security surcharges
• Congestion or operational disruptions
• Other unforeseen circumstances

All additional costs incurred on behalf of the client shall be fully chargeable to the client.

Advances and Disbursements

An advances fee of 2% shall apply to all amounts advanced by Mundo on behalf of the client, including but not limited to:

• Customs duties
• VAT
• Excise duties
• Ocean freight charges
• Airfreight charges
• Port and terminal charges

Unless otherwise agreed in writing.

Waiting Time and Terminal Delays

For Full Truck Load (FTL) and Full Container Load (FCL) shipments:

• 2 hours free loading time
• 2 hours free unloading time

For groupage and LCL shipments, waiting time shall be charged proportionally.

At container terminals, 1 hour free waiting time applies.

Additional waiting time shall be charged at:

EUR 85.00 per hour or part thereof

with a maximum of 9 chargeable hours per calendar day, unless exceptional operational circumstances apply.

Dead Freight and Cancellation

In the event of cancellation, reduction, postponement or non-availability of cargo after booking confirmation, Mundo reserves the right to charge cancellation fees and/or dead freight charges.

Unless otherwise agreed, such compensation may amount to up to 75% of the originally agreed freight and related costs.

Payment Terms

Unless agreed otherwise in writing, all invoices are payable within 14 days from invoice date without deduction, suspension or set-off.

In the event of late payment, Mundo reserves the right to:

• Charge statutory commercial interest
• Suspend ongoing services
• Retain cargo and documents
• Recover all judicial and extrajudicial collection costs

Liability

Mundo’s liability is strictly limited in accordance with the applicable Dutch Forwarding Conditions, Dutch Warehousing Conditions and mandatory law.

Mundo shall never be liable for:

• Indirect damages
• Consequential damages
• Loss of profit
• Business interruption
• Market loss
• Delay damages

unless caused by wilful misconduct or gross negligence as defined under Dutch law.

Compliance and Sanctions

The client guarantees compliance with all applicable laws and regulations, including but not limited to:

• Customs legislation
• Export control regulations
• Sanctions regulations
• Anti-bribery legislation
• Trade compliance requirements

Mundo reserves the right to refuse, suspend or terminate services that may violate applicable laws, sanctions or compliance regulations.

Data Protection

Mundo processes personal data in accordance with applicable privacy legislation and the Mundo Privacy Policy available on:

Force Majeure

Mundo shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to:

• Natural disasters
• War
• Strikes
• Pandemics
• Government restrictions
• Cyber incidents
• Port congestion
• Carrier disruptions
• Power failures
• Customs delays

Language

In the event of discrepancies or inconsistencies between the Dutch version of these Terms & Conditions and any translation thereof, the Dutch version shall prevail.
